An Annual Return is a snapshot of general information about a company as at the anniversary of the incorporation date (called return date). The return must be filed with the Registrar of Companies within 28 days of the anniversary of the company. Companies House will send reminder notice to you at your registered office near to the filing dateline.
You can also check your company’s return filing due date at the Companies House website free of charge.
It is the directors’ responsibility to ensure the Annual Return is filed to Companies House on time. The directors can be prosecuted, or the company may be removed from the Registrar if failed to file the return on time.
The directors must provide updated information in the return about its directors, company secretary if there is one appointed, shareholders and shares issued during the year. Please be reminded that relevant forms must be filed in order to take effect of the changes reflected in the return.
Annual return filing fee is £30 if file paper form return and it is reduced to £15 if file online. To file online, you require the company authentication code and a Companies House generated Security code. Please keep these codes safe and only disclose to your accountants if they are filing the return for your company on your behalf.
