The Board of Directors

 

The management of a company is usually controls by the board of directors as a whole and not individual director. Formal meetings are, however, often dispensed with and the board can delegate its powers to one or more board members and appoint managing director. Shadow directors are persons in accordance with instructions the directors are accustomed to act and they have the same duties and obligations as any other directors.
